Welcome to Integrated HealthCare Solutions (IHS). These Terms and Conditions (“Terms”) govern your use of our website, services, and communications, including SMS/text messaging. By accessing our website, using our services, or opting into communications, you agree to these Terms.
1. Use of Website and Services
The website and services of IHS are provided for informational purposes only and are not a substitute for professional medical advice. No provider–patient relationship is created by use of this website.
You agree not to:
- Upload malware, attempt unauthorized access, or misuse the site;
- Use the site for fraudulent or unlawful purposes;
- Interfere with site functionality or security.
IHS reserves the right to suspend or terminate access at its sole discretion.
To the fullest extent permitted by law, IHS and its officers, directors, employees, contractors, affiliates, and agents shall not be liable for damages arising out of your use or inability to use the website or services.
You agree to indemnify and hold harmless IHS and its leadership from claims related to your misuse of the website or services.
2. Eligibility
- You must be at least 18 years old to use the IHS website or services.
- Minors may only receive services with written parental or guardian consent.
- Services are intended for individuals in the United States within jurisdictions where IHS is authorized to operate.
- IHS may deny access to anyone, at its discretion, including for fraud or violation of these Terms.
3. Appointments, Payments, and Billing
- Payment is due at the time of service unless otherwise agreed in writing.
- You are responsible for co-pays, deductibles, coinsurance, and non-covered services.
- Payments are processed securely through third-party processors; IHS is not responsible for processor errors.
- Refund Policy: Payments are non-refundable unless required by law.
- Cancellations: Less than 24 hours’ notice may incur a fee. “No-shows” may be billed in full.
- Insurance verification does not guarantee payment; you remain responsible for balances.
- Billing disputes must be submitted in writing within 30 days; failure to do so waives your right to contest.
- IHS may pursue collections, attorneys’ fees, and costs for unpaid balances.
4. Privacy and HIPAA Compliance
IHS complies with the Health Insurance Portability and Accountability Act (HIPAA). PHI may be used for:
- Treatment, Payment, and Operations (TPO) purposes.
- PHI is protected by administrative, technical, and physical safeguards.
- You have rights to access, amend, and restrict PHI under HIPAA.
- Do not share login credentials; IHS is not liable for breaches outside its control.
- Full details are available in our Notice of Privacy Practices (NPP), provided at intake and upon request.
5. SMS/Text Messaging Terms
- By opting in, you consent to receive texts under the TCPA. Consent is not required for care.
- Types of messages: appointment reminders, billing notices, health tips, and program updates.
- Message frequency varies. Standard carrier rates may apply.
- Wireless carriers are not liable for delayed or undelivered messages.
- Opt-out by replying STOP; get help by replying HELP.
- IHS disclaims liability for third-party transmission failures.
6. Limitation of Liability
IHS and its officers, directors, employees, affiliates, and agents shall not be liable for:
- Direct, indirect, incidental, or consequential damages;
- Unauthorized access, PHI breaches, or service outages;
- Carrier, ISP, or third-party failures.
Cap on liability: The greater of (a) amounts you paid for services, or (b) $100.
7. Indemnification
You agree to indemnify, defend, and hold harmless IHS, its officers, directors, employees, contractors, affiliates, and agents from all claims, costs, and liabilities (including attorneys’ fees) arising out of your misuse of services, breach of these Terms, or violations of law.
8. Intellectual Property
- All website content is owned by IHS or its licensors.
- Trademarks include: Integrated HealthCare Solutions™, IHS™, Rehab. Restore. Renew.™, Rehab Documentation Pro™.
- Unauthorized use is prohibited.
- You are granted a limited, non-transferable, revocable license for personal, non-commercial use.
- IHS will enforce its rights to the fullest extent permitted by law.
9. Accessibility
IHS strives for compliance with ADA, Section 508, and WCAG 2.1 AA standards.

- IHS is not liable for accessibility limitations caused by third-party vendors or user devices.
10. Modifications to Terms
IHS may modify these Terms at any time without notice.
- Changes are effective upon posting.
- Continued use = binding acceptance.
- If you disagree, your sole remedy is to discontinue use.
11. Dispute Resolution
- All disputes resolved by binding arbitration under AAA rules.
- No jury trial; no class or collective actions.
- Venue: Baltimore County, Maryland.
- Small claims court exception permitted for eligible cases.
12. Governing Law
- Governed by Maryland law.
- Federal laws (HIPAA, TCPA, etc.) apply only where mandatory.
- Venue: state or federal courts in Baltimore County, MD.
13. Medical & Emergency Disclaimers
- Website/communications are not medical advice.
- No provider–patient relationship created by site use.
- Not for emergencies. For urgent needs, call 911.
14. Telehealth & Remote Services Consent
- By using telehealth or RTM, you consent to remote services.
- Risks include connectivity issues, limited assessment, and privacy risks.
- IHS provides telehealth only where legally licensed.
- Not appropriate for emergencies.
15. Electronic Communications & E-Sign Consent
- Consent under the ESIGN Act: emails, SMS, and portal notices are binding.
- Electronic signatures = legally enforceable.
- Notices are deemed delivered when sent.
- You must maintain current contact info.
16. Good Faith Estimates (GFEs)
- Uninsured/self-pay patients are entitled to GFEs under the No Surprises Act.
- GFEs are estimates, not guarantees.
- If billed charges exceed the GFE by $400+, you may request federal dispute resolution.
- IHS is not liable for differences due to clinical changes, payer denials, or incomplete info.
17. Cookies, Analytics & Tracking
- IHS uses cookies/analytics for functionality and security.
- PHI is not tracked through cookies.

- IHS is not responsible for third-party tracking.
18. Non-Discrimination & Language Assistance
- IHS complies with Section 1557 of the ACA and civil rights laws.
- No discrimination based on race, color, age, sex, disability, or national origin.
- Free interpreter and auxiliary services are provided when required.

19. DMCA Notice
- IHS respects intellectual property.

- Repeat infringers may have access terminated.
20. Force Majeure
IHS shall not be liable for delays caused by:
- Natural disasters, pandemics, cyberattacks, outages, labor disputes, or government actions.
- Obligations are suspended during such events.
21. Assignment; No Third-Party Beneficiaries
- IHS may assign rights/obligations in mergers, acquisitions, or expansions.
- Users cannot assign rights without IHS’s written consent.
- No third-party beneficiaries unless expressly agreed.
22. Severability; Waiver; Entire Agreement; Headings
- Invalid provisions do not affect the rest.
- Waivers must be in writing.
- These Terms, Privacy Policy, and NPP = entire agreement.
- Headings are for convenience only.

- Notices to you may be sent via email, SMS, portal, mail, or website posting.
- Notices deemed delivered when sent.
24. Payment Authorization
- You authorize IHS to securely store and charge cards for co-pays, deductibles, non-covered services, no-show fees, and memberships.
- Recurring payments apply until canceled in writing.
- Disputes must be submitted within 30 days.
- Chargebacks without prior notice may result in collections.
25. User Content, Feedback & Testimonials
- Do not post PHI in public areas.
- Feedback grants IHS a royalty-free, worldwide license for business use.
- HIPAA authorization is required before using identifiable testimonials in marketing.
- No compensation provided for submitted feedback.
